EEDC Corporate Governance


The overall structure and governance of Edmonton Economic Development Corporation (EEDC) as a corporation was to a large extent established in 1992 when the corporation was formed. Listed below are the primary documents that establish the structure and governance of EEDC:

Memorandum of Association:

This memorandum is the document responsible for the establishment of Economic Development Edmonton (the predecessor name to Edmonton Economic Development Corporation) as a corporate entity. This document also establishes the City of Edmonton as the sole shareholder to EDE, with a total of two shares being issued, with one share held on behalf of the shareholder by the City Manager and the second held by the City Clerk. This memorandum was signed on June 18, 1992.

Articles of Association:

The Articles of Association set out the specific terms and conditions under which EEDC is to operate as a corporation. These Articles address a wide range of issues including the authority of the Shareholder and the Board of Directors, the business to be conducted at annual general meetings, the terms under which members are elected to the Board of Directors, and the conduct of Board meetings. These Articles were last amended on May 2, 2007.

Charter of Expectations for the Board of Directors:

This document provides a summary of the responsibilities and obligations of members of the Board of Directors.

Terms of Reference for Individual Directors:

This document provides further details with respect to the terms of reference of individual Directors. 

Code of Business Ethics for Directors:

This document provides further detail with respect to the business conduct and ethical behaviour of the Directors during their term on the Board.

Role of the Chairman:

This document provides a summary of the duties and powers of the Chairman of the Board of Directors. 

Role of the President:

This document provides a summary of the duties and responsibilities of the President of the corporation.

Taken together, these documents largely define the structure, governance and conduct of EEDC as a corporation.
